Bylaws of Pleasant Hill Memorial Association, Inc

ARTICLE 1
NAME OF ASSOCIATION
The name of the association shall be Pleasant Hill Memorial Association, Inc.

ARTICLE 2
MISSION/PURPOSE
The Pleasant Hill Memorial Association, a non-profit organization, was established as a benevolent organization to maintain and administer funds, which are devoted exclusively to the ongoing and perpetual care of the Pleasant Hill Cemetery, Franklin County, Texas. 


The land for the cemetery was deeded to the Pleasant Hill Memorial Association, Inc., on May 28, 1975, by The United Methodist Church, North Texas Conference.  The cemetery association shall exist and operate exclusively for the benefit of its present and future members.  It is a non-profit entity solely for the purpose of preserving and maintaining said property.  The association shall not be conducted for financial gain and no part of its net earnings shall inure to the benefit of any private shareholder, member or individual. 


No substantial part of the Association activities shall be carrying on of propaganda, or otherwise attempting, to influence legislation and it shall not participate in or intervene in any Political campaign on behalf of or in opposition to any candidate for public office. 

ARTICLE 3
MEMBERS
Any person age 18 and above who has relatives buried in Pleasant Hill Cemetery, shall be deemed a member of the Association in good standing and shall be entitled to full voting privileges. 

ARTICLE 4
BOARD OF TRUSTEES
A.  The Board of Trustees shall consist of no less than 5 members and no more than 7 members. 
B.  A Trustee term of office will be three (3) years.  However Trustees may succeed themselves if so elected. 
C.  The Treasurer and Secretary shall be appointed by the Board of Trustees and serve an indefinite period. 
D.  The Treasurer will be responsible for all monies collected and disbursed as indicated in ArticleS. 
E.  The Secretary shall maintain a copy of all minutes of meetings and a copy of the current Bylaws. 
F.  The Trustees, at the first meeting after the annual meeting of members, shall elect by majority vote, a President and such other officers as the board deem appropriate. 

ARTICLE 5
ASSOCIATION FUNDS 
A.  The Treasurer shall be responsible for maintaining all records of donations, investments, disbursements and other financial transactions of the Association, 
B.  The Treasurer, with the approval of the Board of Trustees, shall set up a GENERAL FUND (Checking) and a TRUST FUND (CD) for the purpose of the Association. 
C.  The Treasurer shall deposit all monies received for the Association in the GENERAL FUND or the TRUST FUND as designated by the donor. 
D.  The Treasurer will disburse all monies to pay bills of the Association, with the approval of the Board of Trustees. 
E.  No dividend of any kind and no salaries shall be paid to any Trustee of the Association. 
F.  Only the interest from the TRUST FUND may be used for the general operating fund. The TRUST FUND (principal) money must not and may not be used for any other purpose. 
G.  If at any time the association should be dissolved, no part of the funds or property shall be distributed to or among its members, Trustees, or officers.  After all debts have been paid, its surplus funds and properties, shall be used for the benevolent purpose as set forth in the Bylaws and in accordance with State and County law. 

ARTICLE 6 
MEETINGS
A.  The Association shall have an annual meeting on the second Sunday in July of each year located at Pleasant Hill Cemetery, Franklin County, Texas at 10:00 AM. 
B.  All financial statements and previous actions of the Trustees will be available for review at this meeting. 
C.  Special meeting (except Committee) must be called by the President by giving notice to the other Trustees by via telephone, email, or written notice. 
D.  In order to conduct business, a quorum of at least four (4) Trustees must be present at all annual or called meetings. 
 
ARTICLE 7 
ACTIVITIES PERTAINING TO THE CEMETERY 
A.  All activities (policy, programs, projects) pertaining to the Cemetery must have approval of the Board of Trustees before implementation. 
B.  A fee of $250.00 will be charged for each plot to anyone that is not a member. (As of July 2014)
